Mississippi Privilege License Renewal: Deadlines, Penalties and Who Must Renew
Mississippi Privilege License Renewal: Deadlines, Penalties and Who Must Renew
If you searched for mississippi business license renewal, you have probably found conflicting dates and fees. Mississippi does not issue a statewide general business license. The local license you renew is a privilege license issued by your city, town or village, or by your county if your business sits outside municipal limits. Each local government sets its own renewal date, fee schedule and late penalty, so there is no single Mississippi deadline to put on your calendar.
This guide covers who has to renew, how renewal dates are set, how fees are usually calculated, what happens when you miss a deadline, and which state filings are easy to confuse with a privilege license renewal.
Informational content, not legal or tax advice. This guide summarizes Mississippi rules as of October 2026 so you can plan. It does not replace advice from a licensed attorney or CPA. Confirm every date, fee and penalty with the agency that issues your license before you pay or file.
What 'business license' means in Mississippi
Three different things get called a business license in Mississippi. Only the first one is renewed as a local license.
- Privilege license (local). Issued by a city under Miss. Code 27-17, or by a county for businesses outside city limits. This is the license this guide covers.
- Entity registration (state). A Certificate of Formation for an LLC, or Articles of Incorporation for a corporation, filed with the Mississippi Secretary of State. The LLC Certificate of Formation (Form F0100) carries a $50 filing fee. This registers the entity. It is not a license and is not renewed as one. Its yearly obligation is the annual report, covered below.
- Tax registration (state). A sales tax permit from the Mississippi Department of Revenue if you make retail sales. The DOR describes it as a permit for the privilege of operating a business in Mississippi. It carries no fee, although a bond may be required for applicants with no permanent Mississippi location.
If you operate under a name other than your legal name, the fictitious (assumed) business name is also filed with the Secretary of State, not the county. The Fictitious Business Name Registration (Form F0070) costs $25.
Occupational and industry licenses are a separate category. State boards issue them on their own schedules, so check with the board that governs your trade.
Who must renew
Mississippi divides the privilege license between cities and counties by location. The license tax is owed to the city when your business is inside municipal limits, and to the county tax collector when it is outside them (Miss. Code 27-17-9). Counties license only businesses outside municipalities, so a business inside a city answers to the city.
Whether your activity needs a privilege license is set by your city's ordinance. Your entity type does not change whether the local license applies. A sole proprietor, an LLC and a corporation in the same city all need to ask the same question: does this activity require a local license? If you are unsure, call the city clerk or the county tax collector before you open or renew.
Renewal dates are set city by city
The idea that all privilege licenses expire September 30 is wrong. Some cities do use September 30, but others run on a calendar-year cycle, on the issue date, or on the month the business opened. These are examples:
| City | When the license renews | Notes |
|---|---|---|
| Olive Branch | Expires September 30 | Online renewal available since October 21, 2025 |
| Cleveland | Expires September 30 | None |
| Ocean Springs | Runs from the issue date to September 30 | The first license is prorated |
| Southaven | Expires December 31 | None |
| Brandon | Expires December 31 | Per the city's application form |
| Laurel | Runs 12 months from the issue date | Laurel Code 12-5 |
| Starkville | Renews in the month the business opened | As of 2026 |
Two businesses in the same city can have different dates if one opened mid-year. Ocean Springs prorates the first license, and Starkville ties renewal to the opening month. Check the date printed on your certificate rather than relying on a general rule.
For cities not in the table, the expiration date on your current certificate is the starting point. Confirm it with the city clerk, because the date on an older certificate may no longer match the city's current schedule.
How the fee is calculated
Many city renewal forms printed in 2026 use the same employee-based schedule:
- $20 for 3 or fewer employees
- $30 for 4 to 10 employees
- $3 per employee over 10, up to a maximum of $150
As an illustration, a business with 25 employees on this schedule would owe $75: $30 for the first 10 employees, plus $3 for each of the 15 above 10. A business with 60 employees would hit the $150 cap.
These are the amounts printed on the forms, not a statewide schedule. Your city may use different tiers, may count part-time staff differently, or may charge a flat amount. Ask the clerk for the current form and the exact amount before you pay.
Late penalties and missed deadlines
Late penalties are set locally. No statewide penalty rate applies to every privilege license, so do not assume a percentage or flat fee from another city applies to yours. Call the city clerk, or the county tax collector if you are outside city limits, and ask:
- What penalty applies after the due date, and whether it is a flat amount or grows over time
- Whether the city will still accept a renewal after the date passes, and on what terms
- Whether an online payment counts as on time if it is submitted before the deadline but processed after it
Keep the receipt or confirmation for every payment. If a city disputes when you renewed, that receipt is your proof of the payment date.
Renewal paperwork
Miss. Code 27-17-453 does not require a notary for a privilege license renewal application. Some city forms still print a notary block, and Jackson is one that does. Read the form before you sign. Do not pay a notary fee for a renewal unless the clerk confirms the form needs one.
Olive Branch has accepted online renewal since October 21, 2025. Other cities may offer online payment, mail-in renewal or in-person payment at city hall. The clerk's office is the place to confirm which methods your city accepts.
State filings that are not the privilege license
Most of the confusion comes from state filings that carry their own deadlines. None of these replaces a privilege license renewal.
- LLC annual report (Form F0108). Due April 15 each year. You may file on or after January 1. It must be filed online and carries no fee. Failure to file can lead to administrative dissolution.
- Corporate annual report (Form F0008). Costs $25. Due April 15 for profit corporations and May 15 for nonprofit corporations. It must be filed online.
- Sales tax permit. No fee to obtain. The state sales tax rate is 7%, with no county add-on. City levies apply only in Jackson and Tupelo.
- Franchise tax. Applies to corporations, and to an LLC taxed as a corporation. An LLC taxed as a partnership does not pay it. For tax year 2026 the rate is $0.50 per $1,000 of capital above $100,000, with a $25 minimum. It steps down to $0.25 for 2027 and is repealed effective January 1, 2028.
Mississippi also has no state minimum wage law, so employee pay questions should be checked against federal rules and your own counsel's advice.
Recent legislation
A 2025 bill, SB 3125, died in committee on February 26, 2025. No 2026 change to the privilege license rules was found. Local forms and dates can change without any state law change, so check with your city or county rather than assuming last year's schedule still applies.
Renewal checklist
- Find the expiration or renewal date printed on your current certificate.
- Confirm the date and fee with your city clerk or county tax collector.
- Count your employees the way your city counts them.
- Calculate the fee from the current form, not from an old certificate.
- Ask about the late penalty before the due date.
- Confirm whether the form requires a notary.
- Pay by a method your city accepts and save the receipt.
- If you are an LLC or corporation, file the state annual report by April 15.
- If you make retail sales, keep your sales tax permit current with the Department of Revenue.
When to get professional help
Talk to a qualified attorney or CPA if you operate in several cities or counties, if your business changed structure during the year, or if the sales tax bond question applies to you. A professional can confirm which local licenses apply to each location and how renewals fit with your annual state filings.
This guide is informational content, not legal or tax advice. Mississippi privilege license rules are set by state code and by local ordinances, and they can change. Confirm current requirements with the agency that issues your license, and consult a qualified attorney or CPA for complex situations.
